These Terms of Use ("Terms") govern your access to and use of www.globalgauge.com and any related pages, forms, and content (collectively, the "Site"), operated by Global Gauge Corporation ("Global Gauge," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. When you submit our contact or quote form, you are asked to affirmatively indicate your agreement to these Terms before the form can be sent.

1. Eligibility and Intended Use

The Site is intended for business and professional use by individuals who are at least 18 years old and who have authority to act on behalf of the organization they represent. The Site is operated from the United States. If you access it from another jurisdiction, you do so on your own initiative and are responsible for compliance with local law.

2. Limited License

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your own internal business purposes, including evaluating our products and services.

3. Restrictions on Use

You agree not to:

• Copy, reproduce, republish, distribute, sell, license, or create derivative works from Site content except as permitted in the Copyright and Disclaimer notice
• Use any robot, spider, scraper, or automated means to access, monitor, or copy the Site, or to harvest email addresses or contact data
• Circumvent, disable, or interfere with security features, including reCAPTCHA verification, rate limiting, or access controls
• Introduce viruses, malware, or any code intended to damage, disable, or impair the Site or its underlying infrastructure
• Attempt to gain unauthorized access to any server, account, or network connected to the Site
• Impose an unreasonable load on our infrastructure, including through denial-of-service activity
• Use the Site to transmit unlawful, defamatory, harassing, infringing, or misleading content
• Submit false, misleading, or fraudulent information through any form
• Use the Site or its content for competitive benchmarking, or to build or train a competing product, dataset, or machine learning model, without our prior written consent
• Remove, obscure, or alter any copyright, trademark, or proprietary notice
• Use the Site in violation of United States export control, sanctions, or nuclear regulatory law

4. Submissions Through the Site

Information you submit through our contact or quote forms is handled as described in our Privacy Policy. You represent that you have the right to submit the information you provide and that it is accurate.

Do not submit confidential, proprietary, export-controlled, or classified technical data through the Site. Our forms are not a secure channel for controlled technical information. If your inquiry involves controlled data or requires a non-disclosure agreement, contact us by telephone at 937-254-3500 so we can establish an appropriate channel first.

Except where a signed non-disclosure agreement is in effect, any suggestion, idea, feedback, or proposal you send us regarding our products, services, or the Site is provided on a non-confidential basis, and you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation.

5. Product Information, Quotations, and Orders

Site content, including specifications, performance figures, drawings, and application descriptions, is provided for general informational purposes. It is not an offer to sell, and it does not form part of any contract.

No quotation, order, or sale is binding on Global Gauge until we issue a written quotation or acknowledge an order in writing. Any resulting sale, installation, service, calibration, or upgrade is governed exclusively by our written quotation and standard terms and conditions of sale, together with any signed agreement between us. In the event of a conflict between these Terms and those documents, those documents control as to the transaction.

Specifications, availability, and pricing are subject to change without notice. Actual system performance depends on application, installation conditions, material properties, calibration, and operator practice.

6. Intellectual Property

The Site and its contents, including text, graphics, photographs, product images, technical drawings, layouts, and software, are owned by Global Gauge Corporation or its licensors and are protected by United States and international copyright, trademark, trade dress, and other intellectual property laws. "Global Gauge," "Global Gauge Corporation," the Global Gauge globe-and-crosshair logo, and "Made in America. Respected Worldwide." are trademarks or service marks of Global Gauge Corporation. 7. Third-Party Links

The Site contains links to third-party websites, including those of our international partners LGE Engineering srl and ZEITDC, and to social media platforms. We provide these links for convenience only. We do not control, endorse, or assume responsibility for the content, products, privacy practices, or security of any third-party site. Accessing a linked site is at your own risk.

8. Site Availability

We do not guarantee that the Site will be available at all times or free of interruption. We may modify, suspend, restrict, or discontinue any part of the Site at any time without notice or liability.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, GLOBAL GAUGE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, CURRENT, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

This Section applies to the Site only. It does not limit, modify, or disclaim any written warranty provided with equipment or services purchased from Global Gauge under a separate agreement.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GLOBAL GAUGE CORPORATION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, PRODUCTION, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, the exclusions and limitations above apply to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Global Gauge Corporation and its officers, directors, employees, and agents from and against any claim, demand, loss, liability, damage, cost, or expense, including reasonable attorneys' fees, arising out of or relating to your use of the Site, your violation of these Terms, or your violation of any law or third-party right.

12. Export Control and Regulatory Compliance

You acknowledge that our products, technical data, and software may be subject to United States export control laws, including the Export Administration Regulations, and to radiation safety regulation, which for sealed radioactive sources means the U.S. Nuclear Regulatory Commission or an Agreement State agency, and for x-ray generating devices means state radiation control programs and federal requirements administered by the U.S. Food and Drug Administration. Export or import of byproduct material, including sealed radioactive sources, may additionally require authorization from the U.S. Nuclear Regulatory Commission under 10 C.F.R. Part 110.

You agree not to access, use, export, re-export, or transfer any Site content in violation of those laws. You represent that you are not located in a country or region subject to United States embargo or restriction, and that you are not a party identified on any United States government restricted-party list.

13. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Ohio, without regard to its conflict of laws principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Montgomery County, Ohio, and you waive any objection to those courts on grounds of personal jurisdiction or inconvenient forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. Changes to These Terms

We may revise these Terms by posting an updated version on this page and changing the "Last Updated" date. Revisions apply prospectively to your use of the Site after the updated version is posted.

15. General

If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our written consent. These Terms, together with the Privacy Policy and the Copyright and Disclaimer notice, are the entire agreement between you and us regarding the Site.
